FICO Announces New Stock Repurchase Authorization, New Term Loan and Accelerated Share Repurchase Program
FICO's board approved a new stock repurchase program to buy up to $2.0 billion of its outstanding common stock, replacing the remaining capacity of its prior $1.5 billion plan. The program is open-ended and may be executed in the open market or in negotiated transactions, including accelerated share repurchases. On June 5, 2026, FICO amended its credit agreement to provide a $1.5 billion incremental term loan, the full amount of which was drawn the same day to fund an accelerated share repurchase with Wells Fargo Securities. Under the ASR, FICO will pay $1.5 billion upfront on June 8, 2026 and expects an initial delivery of about 1,055,100 shares, with final share counts based on the stock's VWAP and customary adjustments, completed by September 30, 2026. The arrangement may yield additional shares or require cash or share delivery at final settlement, reflecting standard ASR mechanics.
